These Terms and Conditions (“Terms”) govern your access to and use of the Adorix Labs website, products,
software, checkout pages, downloads, license systems, support services, email communications, and
related services collectively referred to as the “Services.”
These Terms are a legal agreement between you (“User ,” “you,” or “your”) and Adorix Labs (“Adorix Labs,”
“we,” “us,” or “our”).
By accessing https://adorixlabs.com, purchasing SaturNation, downloading any Adorix Labs software,
activating a license, using our Services, or communicating with us, you agree to be bound by these Terms.
If you do not agree to these Terms, do not use the website, purchase products, download software, activate
licenses, or use the Services.
1. About Adorix Labs
Adorix Labs provides digital audio software products, including SaturNation, an audio plugin designed for
music production, mixing, mastering, and audio processing.
SaturNation is currently available for Windows in VST3 format only.
macOS builds and AAX are not currently included and may be added in a future release.
2. Relationship Between These Terms and the EULA
These Terms govern your use of the Adorix Labs website, checkout, purchasing process, support, digital
delivery, licensing systems, and related Services.
Your use of SaturNation or any Adorix Labs software is also governed by the applicable End User License
Agreement (“EULA”).
If there is a conflict between these Terms and the EULA regarding your use of the Software itself, the EULA
will control.
If there is a conflict between these Terms and the Refund Policy regarding refunds, the Refund Policy will
control.

3. Eligibility
By using the Services, you confirm that you are legally able to enter into a binding agreement.
If you use the Services on behalf of a company, studio, organization, partnership, or other business entity,
you confirm that you have authority to bind that entity to these Terms.
You must not use the Services if you are prohibited from doing so under applicable law.
4. Accounts, Checkout, and Order Information
You may be required to provide accurate information to purchase, download, activate, or receive support
for Adorix Labs products.
You agree to provide accurate, current, and complete information, including your name, email address,
payment information, billing information, and any other information required to complete your order or
provide support.
You are responsible for ensuring that your email address is entered correctly at checkout.
Adorix Labs is not responsible for delivery issues caused by incorrect, outdated, inaccessible, or misspelled
email addresses provided by you.
You are responsible for maintaining the confidentiality of your license key, account access, download links,
activation information, and any related credentials.
5. Purchases and Payment
All prices are shown at checkout and may be listed in the currency selected by Adorix Labs or the payment
provider .
By placing an order , you authorize the payment processor to charge the selected payment method for the
total amount displayed at checkout, including applicable taxes, transaction fees, or other charges where
applicable.
Orders are not complete until payment is successfully processed.
Adorix Labs may use third-party payment processors, checkout platforms, tax platforms, licensing systems,
file hosting services, or email delivery platforms to process and fulfill orders.
Adorix Labs is not responsible for third-party payment processor delays, errors, downtime, rejected
payments, currency conversion fees, banking fees, or payment-provider decisions.

6. Digital Delivery
SaturNation and related products are delivered digitally.
Delivery may occur by email, account access, license key, activation access, download link, checkout
confirmation page, customer portal, or another digital delivery method.
Once the Software, license key, activation access, download access, installer , or related digital product
access has been delivered, the product is considered delivered.
You are responsible for downloading, backing up, and safely storing any installers, license keys, and
account information provided to you.
Adorix Labs may update, replace, expire, or remove download links at its discretion.
7. License and Software Use
Purchasing SaturNation gives you a license to use the Software under the applicable EULA.
Purchasing SaturNation does not transfer ownership of the Software, source code, object code, algorithms,
branding, design, trademarks, interface, activation system, licensing system, documentation, or other
intellectual property to you.
Your license may be revoked or terminated if you violate these Terms, the EULA, the Refund Policy, or
applicable law.
8. Supported Formats and Compatibility
SaturNation is currently available for Windows in VST3 format only.
macOS builds and AAX are not currently included.
You are responsible for confirming before purchase that your operating system, DAW, plugin host,
hardware, and workflow support the available plugin formats.
Adorix Labs does not guarantee compatibility with every DAW, plugin host, operating system, audio
interface, wrapper , bridge, plugin environment, or computer configuration.
Use of SaturNation through third-party wrappers, bridges, plugin hosts, or compatibility layers is not
officially guaranteed unless expressly stated by Adorix Labs.

9. Unsupported Format Notice
macOS support and AAX support for Pro Tools are planned but are not currently included.
Adorix Labs does not guarantee a specific release date for macOS or AAX support.
If you require macOS, AAX, or native Pro Tools compatibility, you should not purchase SaturNation until that format
is officially released.
Purchasing SaturNation before macOS or AAX is released does not create a refund right based on the absence of that format,
except where required by applicable law.
10. Lifetime License Notice
SaturNation is sold as a lifetime license unless otherwise stated at checkout.
A lifetime license means you may use the version of the Software you purchased for as long as the Software
remains technically usable on your system, subject to the EULA and these Terms.
A lifetime license does not guarantee lifetime technical support, lifetime compatibility with future operating
systems, lifetime compatibility with future DAW versions, lifetime server availability, lifetime activation
availability, lifetime access to all future paid major versions, or lifetime access to all future products.
Future major upgrades, expanded plugin formats, additional products, premium add-ons, or major feature
releases may be free or paid at the discretion of Adorix Labs.
11. Activation and License Protection
SaturNation may require online activation, a license key, serial number , email verification, or other license
verification method.
You must not share, sell, leak, publish, upload, transfer , sublicense, or distribute your license key, installer ,
activation access, download access, or account access.
Adorix Labs may suspend, revoke, reset, disable, or terminate license access if we reasonably believe there
has been license abuse, unauthorized sharing, fraud, chargeback abuse, cracking, resale, redistribution, or
violation of these Terms or the EULA.
12. Refunds
Refunds are governed by the Adorix Labs Refund Policy.

Due to the digital nature of SaturNation, all sales are final once the Software, license key, activation access,
download access, installer , or related digital product access has been delivered, except where a refund,
cancellation right, or other remedy is required by applicable law.
Before purchasing, you are responsible for reviewing the product page, supported formats, system
requirements, EULA, Refund Policy, Privacy Policy, and these Terms.
13. Prohibited Conduct
You agree not to:
Use the Services for unlawful, fraudulent, abusive, or harmful purposes;
Interfere with or disrupt the website, checkout, license systems, download systems, support
systems, or security systems;
Attempt to gain unauthorized access to any account, license system, server , database, file, system, or
network;
Use automated tools, bots, scrapers, crawlers, or similar tools to access the Services without
permission;
Upload or transmit malware, viruses, harmful code, or malicious files;
Abuse support systems, payment systems, refund systems, or chargeback processes;
Misrepresent your identity, affiliation, or authority;
Use the Services to infringe the rights of Adorix Labs or any third party;
Share, leak, resell, redistribute, crack, bypass, reverse engineer , or unlawfully exploit any Adorix Labs
product;
Use Adorix Labs products or Services to develop, train, benchmark, copy, clone, or create a
competing software product based on SaturNation’s design, functionality, behaviour , interface,
processing methods, or output characteristics.
14. Intellectual Property
All content and materials on the Adorix Labs website and within Adorix Labs products are owned by Adorix
Labs or its licensors, unless otherwise stated.
This includes software, plugin files, source code, object code, algorithms, audio-processing methods,
product names, branding, logos, website copy, graphics, images, videos, demos, documentation, installers,
presets, interface designs, activation systems, license systems, and related materials.
You may not copy, reproduce, distribute, modify, sell, license, exploit, or create derivative works from Adorix
Labs intellectual property unless expressly permitted in writing by Adorix Labs.

15. User Content, Feedback, and Testimonials
If you send us feedback, bug reports, ideas, suggestions, feature requests, testimonials, comments,
reviews, messages, recordings, screenshots, or other materials, you grant Adorix Labs the right to use that
material as described in the EULA and these Terms.
You grant Adorix Labs a worldwide, perpetual, irrevocable, royalty-free, fully paid, transferable,
sublicensable right to use, reproduce, modify, adapt, publish, implement, commercialize, and otherwise
exploit feedback, bug reports, suggestions, ideas, and improvement recommendations for any purpose
without compensation, credit, approval, or obligation to you.
Testimonials, quotes, endorsements, or public-facing statements will only be used publicly where
permission has been given or where you have submitted such material for public use.
You are responsible for ensuring that any content you send to Adorix Labs does not infringe the rights of
any third party.
16. Beta, Trial, Demo, and Early Access Programs
Adorix Labs may offer beta, trial, demo, pre-release, or early access versions of SaturNation or other
products.
Such versions may be incomplete, unstable, limited, time-restricted, watermarked, missing features, or
subject to change.
Adorix Labs may modify, disable, expire, revoke, replace, or discontinue beta, trial, demo, pre-release, or
early access versions at any time.
Unless expressly permitted in writing, you may not publicly review, demonstrate, stream, post, publish,
share, disclose, redistribute, or discuss private beta versions before public release.
Participation in a beta, trial, demo, or early access program does not guarantee a free final license unless
expressly stated in writing by Adorix Labs.
17. Third-Party Services
The Services may rely on or link to third-party platforms, including payment processors, checkout platforms,
tax services, license systems, file hosting platforms, email services, analytics/security tools, video platforms,
cloud services, and support tools.
Adorix Labs is not responsible for third-party services, including their availability, performance, fees,
policies, privacy practices, security practices, errors, interruptions, or data handling.

Your use of third-party services may be governed by their own terms and privacy policies.
18. Links to Third-Party Websites
The Adorix Labs website or communications may contain links to third-party websites, platforms, products,
services, videos, creators, partners, affiliates, or resources.
Such links are provided for convenience only.
Adorix Labs does not control and is not responsible for third-party websites, content, products, policies,
security, or practices.
A link does not imply endorsement unless expressly stated.
19. Affiliate and Promotional Relationships
Adorix Labs may work with affiliates, creators, reviewers, partners, or promoters.
Affiliate links, discount codes, promotional campaigns, or creator partnerships may be used from time to
time.
Adorix Labs may modify, suspend, or discontinue affiliate or promotional programs at any time.
Nothing in these Terms creates an affiliate relationship, partnership, employment relationship, agency
relationship, or joint venture unless expressly agreed in writing by Adorix Labs.
20. Support
Adorix Labs may provide support by email or other available support channels.
Support may include activation help, installation guidance, troubleshooting, compatibility guidance, or
product-related assistance.
Adorix Labs does not guarantee any specific response time, support outcome, compatibility fix, update, or
resolution.
Support does not include custom engineering, DAW training, third-party plugin troubleshooting, computer
repair , mix engineering services, or guaranteed workflow results.

21. Privacy
Your use of the Services may involve the processing of personal information.
Adorix Labs may process information necessary for website operation, payment processing, order
fulfillment, license delivery, license activation, fraud prevention, support, email communication, and legal
compliance.
Your use of the website, checkout, payment system, licensing system, support system, and related Services
may be subject to the Adorix Labs Privacy Policy.
By using the Services, you acknowledge that certain information may be processed as necessary to provide
the Services.
22. Availability and Changes to Services
Adorix Labs may modify, update, suspend, discontinue, replace, or remove any part of the Services at any
time.
Adorix Labs does not guarantee uninterrupted access to the website, checkout, download links, license
systems, support systems, or related Services.
Adorix Labs may perform maintenance, updates, migrations, security changes, or service changes at any
time.
23. Product Information and Marketing Claims
Adorix Labs attempts to describe its products accurately.
However , product descriptions, screenshots, videos, audio demos, examples, claims, and marketing
materials are provided for general informational and promotional purposes.
Your results may vary depending on your source material, DAW, system, monitoring environment, mixing
decisions, gain staging, workflow, and skill level.
Adorix Labs does not guarantee that SaturNation will produce any specific creative, technical, commercial,
musical, loudness, clarity, streaming, or mix-quality result.

24. No Professional Advice
The Services, website content, product descriptions, demo videos, examples, emails, and support
communications are provided for general informational purposes.
They do not constitute legal, financial, business, engineering, production, mastering, medical, or
professional advice.
You are responsible for your own creative, technical, legal, financial, and business decisions.
25. Disclaimer of Warranties
The Services and Software are provided “as is” and “as available,” without warranties of any kind, whether
express, implied, statutory, or otherwise.
To the maximum extent permitted by law, Adorix Labs disclaims all warranties, including implied warranties
of merchantability, fitness for a particular purpose, non-infringement, compatibility, availability,
uninterrupted operation, error-free performance, and suitability for any particular purpose.
Adorix Labs does not warrant that the Services or Software will meet your requirements, operate without
interruption, be secure, be error-free, be compatible with every system, or produce any specific result.
26. Limitation of Liability
To the maximum extent permitted by law, Adorix Labs will not be liable for any indirect, incidental,
consequential, special, exemplary, punitive, or similar damages, including lost profits, lost revenue, lost
clients, lost business, lost data, lost recordings, lost sessions, corrupted projects, studio downtime, DAW
crashes, equipment issues, failed releases, reputational harm, loss of goodwill, or loss of opportunity
arising from or related to the Services, Software, website, checkout, license system, support, or these
Terms.
To the maximum extent permitted by law, the total liability of Adorix Labs for any claim relating to the
Services, Software, website, checkout, license system, support, or these Terms will not exceed the amount
you paid to Adorix Labs for the product or service giving rise to the claim.
Some jurisdictions do not allow certain exclusions or limitations of liability, so some limitations may not
apply to you.

27. Indemnity
You agree to indemnify, defend, and hold harmless Adorix Labs from and against any claims, damages,
losses, liabilities, costs, and expenses arising out of or related to:
Your use or misuse of the Services or Software;
Your violation of these Terms;
Your violation of the EULA;
Your violation of the Refund Policy;
Your violation of applicable law;
Your infringement of third-party rights;
Your unauthorized sharing, resale, redistribution, cracking, leaking, or modification of the Software;
Your use of SaturNation in professional, commercial, client, or production environments;
Any claim that your music, audio, content, project, production, or client work infringes or violates the
rights of a third party.
28. Termination
Adorix Labs may suspend or terminate your access to the Services, Software, license, activation system,
downloads, account, or support if you violate these Terms, the EULA, the Refund Policy, or applicable law.
Upon termination, you must stop using the Software and delete or destroy all copies in your possession or
control, unless otherwise required by applicable law.
Termination does not limit any rights or remedies available to Adorix Labs.
Sections relating to ownership, restrictions, feedback, payment, refunds, privacy, disclaimers, limitation of
liability, indemnity, termination, and governing law will survive termination.
29. Governing Law
These Terms are governed by the laws of the Province of British Columbia and the applicable federal laws of
Canada, without regard to conflict-of-law principles.
Any dispute arising out of or relating to these Terms, the Services, the website, checkout, support, licensing,
or Software will be handled in the courts located in British Columbia, Canada, unless applicable law requires
otherwise.

30. Consumer Rights
Nothing in these Terms is intended to limit, exclude, or restrict any consumer protection rights, cancellation
rights, refund rights, warranty rights, or other legal rights that cannot be limited, excluded, or restricted
under applicable law.
If any part of these Terms conflicts with a mandatory legal right that applies to you, that mandatory legal
right will apply only to the extent required by law, and the rest of these Terms will remain in effect.
31. Changes to These Terms
Adorix Labs may update these Terms from time to time.
The updated version will be effective when posted on the Adorix Labs website or otherwise made available.
Your continued use of the Services after updated Terms become effective means you accept the updated
Terms.
If you do not agree to updated Terms, you must stop using the Services and Software.
32. Severability
If any provision of these Terms is found to be invalid, unlawful, or unenforceable, that provision will be
limited or removed to the minimum extent necessary, and the remaining provisions will remain in full force
and effect.
33. Entire Agreement
These Terms, together with the EULA, Refund Policy, Privacy Policy, order terms, checkout terms, and any
written licensing terms provided by Adorix Labs, form the entire agreement between you and Adorix Labs
regarding the Services and Software.
These Terms supersede any prior or contemporaneous oral or written communications regarding the
Services, except where Adorix Labs has provided specific written terms that expressly modify these Terms.
